No draft motion was provided nor read aloud. The Board’s denial of the Extension means River Park’s approvals will expire.
On November 24, 2024, the N.H. Superior Court ruled in favor of XYZ’s Municipal Estoppel claim, reinstating the Building Permit and overruling the Planning Board’s decision to deny any extension of time.
XYZ sought to recommence work again in January, 2025 only to have the City conspire to once again stop work on-site, make new financial demands, issue new requirements, and ultimately declare the Building Permit expired and invalid. Again.

Lebanon Creates New $100,000 Requirement: Stops Work and Invalidates Building Permit Again
January – February, 2025
Upon resumption of work on the site in 1/2025 following the Judge’s 12/2024 rejection of the City’s Motion to Reconsider, the City stopped the project again.
The City refused to accept that work on site had begun, and created a new demand $100,000 in security funds.
Amidst these delays, the Staff deemed the Building Permit invalid yet again.
DPW demands new security and easements it had never asked for and wasn’t entitled to.
XYZ informs City of work done on-site toward Building Permit since re-mobilization after Judge order.
Operating in bad faith memo, same Conspirators ghost write new memo.
City: physical work on-site does not constitute work.
Requests another Extension while matter is being Appealed. Request is denied.
River Park resumes work
1. River Park set forth re-mobilizing with its Construction Manager to excavate the building’s foundation and remove the City’s no-easement stormwater line into a temporary bypass line, in accordance with existing approvals and the NH Superior Court’s Nov. 25, 2024 order.
2. Work was released after the City’s Request for Reconsideration was denied by the Court on Dec. 24, 2024.
3. This was the third mobilization, following the successful Municipal Estoppel case in 2024, and successfully appealed stoppage and ultra vires conditions in 2023, following the 2020-2022 Covid-19 disruptions.
“While this work authorized by the Building Permit was ongoing, XYZ’s contractors were making preparations to bypass, into a new temporary drainage line during construction, an old stormwater pipe that the City had installed underneath the Property years ago without an easement or permission of the Owner. That pipe, which was decaying, was located underneath the area where the new Building 1 was to be located, and had to be removed before the excavation could be dug down to its required depth, and the foundation of Building 1 poured. XYZ had already obtained an Alteration of Terrain (“AoT”) permit from New Hampshire Department of Environmental Services (“NHDES”) authorizing it to make the bypass, and to remove the old stormwater pipe, and did not require any other permit from the City, which had a received copy of the AoT permit for its files years earlier.” - Affidavit of David Clem, June 23, 2025.

Judge orders Lebanon to produce 91-A Right-to-Know
1. A Right-to-Know act request was filed during the successful 2024 legal challenge to reinstate the Building Permit, demanding that the City turn over project files as required under N.H. RSA 91-A Open Meeting Laws.
2. The City did not turn over any documents for over 6 months.
3. River Park filed a Petition to Compel in N.H. Superior Court. The City responded, and a hearing was held.
4. River Park’s attorney offered a solution to save taxpayers from $79,596 in unnecessary expenses.
5. The Jan. 15, 2025 Court Order found that the City had been in violation of RSA chapter 91-A and set a schedule for the City to produce documents.

Comments at Lebanon City Council budget hearing
Following the Superior Court’s decision on November 25th, River Park attended the Lebanon City Council hearing on December 4th and made comments during the hearing on the 2025 Budget (11.9% increase).
Earlier in the meeting the Council approved an additional $100,000 allocation for ongoing legal matters, and the City Manager’s office represented to the public their successful legal actions. So we asked two questions?
1. Why is the City Manager spending hundreds of thousands of dollars fighting against an addition to the tax base…while he’s proposed 12% tax increase?
2. Was the City Council even made aware of the Staff’s obstructions and costly actions, or is this Administration operating below sea level?

Chairman of the Planning Board emails the Planning Director with the priority to “investigate, and take action as necessary, to preclude the potential for sale” of the XYZ property.
While XYZ is in Court defending itself, successfully, from Staff Actions, elected and appointed City officials are advocating for the downzoning of the property.
This is a brazen attack on property rights.

28-page decision supports River Park's claims, rejects City of Lebanon's arguments and City Attorney's attempt to dismiss case. Municipal Estoppel confirms Staff acted improperly.

For the past 2 years, River Park has been navigating repeat delays and obstruction from the Lebanon Planning Staff; the latest in pattern of behavior that has plagued project.
Staff's decision to invalidate the building permit was overturned 4-1 by Lebanon Appeal Board.
At 4:30pm on 30th day of 30-day appeal period, City Staff and City Attorney filed an appeal of own Appeal Board to State, knowing further delay would prevent project from proceeding.
N.H. Attorney General's office directed River Park toward filing Municipal Estoppel case, leading to 3-days of testimony and evidentiary hearings held in October/November.
Amidst Superior Court proceedings, Lebanon Planning Board voted 5-0 to deny an extension of River Park Approvals, effectively killing the project despite City delays.
River Park's Attorney filed a N.H. 91-A Right to Know request in June, requesting City's files and communications as State law requires. City has not provided any files for over 170 days.
River Park has provided exhaustive evidence and costly legal filings in our defense, and all Architectural and Engineering plans are proactively updated to current codes and ready to proceed.

River Park Closed to Public Access
Upon requesting to connect a historic Dining Car to utilities built by River Park, the Staff determined that XYZ had made “unpermitted site improvements,” including the trailhead and parking area, which had hosted:
2020: Trails + Trucks
2021: Bagel Lady Launch
2022: Coffee Pop-ups
2023: Hootenanny
As a result, XYZ lost the ability to retain liability insurance, and upon legal advice closed the property until the issues could be addressed by intended 2024 site work.
That work was suspended in 2024 and again in 2025.

Simultaneously, the Lebanon City Council voted unanimously to amend their 2011 decision and support River Park’s roadway and public transportation plan.
